Head – Corporate/Mergers & Acquisitions Practice
Andrew ANG is the Head of the Corporate/Mergers & Acquisitions Practice and is a Partner in the Private Equity Practice.
His main practice areas are local and cross-border mergers and acquisitions, corporate restructurings, joint ventures, privatisations as well as private equity investments.
In the area of public M&A, Andrew has been involved in many landmark deals; including acting for CMA CGM S.A. ("CMA") in relation to the voluntary general offer by CMA for all the issued and paid up ordinary shares in the capital of Neptune Orient Lines Limited, for approximately S$3.4 billion; CB Medical Holdings Limited ("CBMHL"), an indirectly-owned subsidiary of Beijing CITIC Investment Centre (Limited Partnership), in the amalgamation between CBMHL and Biosensors International Group, Ltd. valued at S$1.1 billion, this being the first take private of a company listed on the Singapore Exchange Securities Trading Limited through an amalgamation; Frasers Centrepoint Limited in the acquisition of Australand Property Group. This deal was awarded "Best Singapore Deal" at the FinanceAsia Awards for Achievement 2014; Kindest Place Groups Limited in relation to Heineken International B.V.'s acquisition of Asia Pacific Breweries Limited. The acquisition won several awards including the "Global M&A Deal of the Year: Southeast Asia" at The American Lawyer's Global Legal Awards, 2013, "SE Asia Deal of the Year" and "IPP Financial Advisers Pte Ltd Award Singapore M&A Deal of the Year" at the ALB SE Asia Awards, 2013, amongst others. Andrew also acted for TCC Assets Limited ("TCCA") in relation to the mandatory general offer by TCCA for Fraser and Neave, Limited ("F&N"), which values F&N at approximately S$13.8 billion. The transaction was awarded "M&A Deal of the Year" for both South East Asia and Singapore, as well as "SE Asia Deal of the Year" at the ALB SE Asia Law Awards, 2014; and "Best M&A Deal" at the IFLR Asia Awards, 2014.
Other recent public transactions that Andrew is involved in include acting for Super Group Ltd. (the"Company") in the voluntary general offer by Sapphire Investments B.V. an indirect wholly-owned subsidiary of Jacobs Douwe Egberts B.V., to acquire all the issued ordinary shares of the Company; Mapletree Commercial Trust Management Ltd., as manager of Mapletree Commercial Trust ("MCT") in relation to the acquisition of the office and business park components of Mapletree Business City (Phase 1) for S$1.78 billion, and the equity fund raising to be undertaken by MCT, involving the issue of up to 795 million new units in MCT to raise gross proceeds of approximately S$989.6 million; Singapore Post Limited ("SingPost") in the acquisition by Alibaba Investment Limited ("Alibaba") of a 34% stake in SingPost's subsidiary, Quantium Solutions International Pte. Ltd., for up to S$92 million; and the acquisition of 107,553,907 new shares in SingPost for S$187.1 million, which increased Alibaba's deemed interest in SingPost to 14.51%; the delistings of Interplex Holding, Lee Kim Tah Holdings Limited, Singapore Land Limited and Chemoil Energy Limited; and the reverse takeover of Scorpio East Holdings Ltd. by KOP Group Pte. Ltd.
Andrew has significant cross-border transactional experience which includes acting for Mr Peter Lim in 2010 in his bid to acquire Liverpool Football Club in England; Barry Callebaut AG, as Singapore counsel, in relation to its US$950 million acquisition of Petra Foods Limited's Cocoa Ingredients Division; Skywest Airlines Ltd. ("Skywest") in the scheme of arrangement by Virgin Australia Holdings Limited to acquire all the shares in Skywest; and Asahi Group Holdings, Ltd. in its RM820 million acquisition of Permanis Sdn Bhd, PepsiCo Inc.'s bottler in Malaysia.
Andrew is also involved in high profile private equity transactions. Recent significant transactions in this area include acting for PAG Asia Capital's investment in Paradise Group Holdings Pte. Ltd. one of the leading restaurant groups in South East Asia; the financial advisers to Kohlberg Kravis Roberts & Co. L.P. in the acquisition of Goodpack Limited, which was the largest buyout of a Singapore company by a private equity fund. This deal was awarded the "M&A Deal of the Year" at the ALB SE Asia Law Awards 2015 and the "M&A Deal of the Year: Private Equity" at The Asian Lawyer Asia Legal Awards 2015. It was also one of Asian-Mena Counsel's "Deals of the Year" for 2014. He also advised J.P. Morgan (S.E.A.) Limited, the financial adviser to EUN Holdings, LLP, in its mandatory unconditional cash offer for euNetworks Group Limited for approximately S$186.9 million; Northstar Group in its acquisition of the "ERA Real Estate" franchise in Singapore and the Asia Pacific; and TPG Capital in relation to the sale of a 23.9% stake in Parkway Holdings Limited ("Parkway") by TPG Capital to Fortis Healthcare Ltd. ("Fortis") for S$959.4 million. This is a landmark transaction which led to the tussle between Fortis and Khazanah Nasional Berhad for Parkway, which Andrew was also involved as counsel for Parkway.
Andrew graduated from the University of Nottingham. He is admitted as a Barrister-at-Law (Gray's Inn) and to the Singapore Bar.
Andrew has been the co-author of the Singapore Chapter in The Private Equity Review since 2013. He also co-authored the Singapore Chapter in the European Lawyer's M&A Reference Book, 2012 edition, and a chapter in ALM Guide to Global Mergers & Acquisitions 2008 published by ALM Publication (2008).
