MIAO Miao is the Deputy Head of the China Practice. His main areas of practice include foreign direct investment, project finance and equity transactions, with a focus on corporate finance-related transactions, mergers and acquisitions and general corporate law. He has particular expertise in deals relating to power plants involving foreign investment, having advised on approximately 20 such deals in China.
Miao graduated from Zhejiang University, PRC, University of Leeds, UK and National University of Singapore. He is admitted to the Bar of the People's Republic of China, Singapore Bar and the Roll of Solicitors of England & Wales.
Significant transactions in which Miao has been involved in include acting/advising for the following:
- China Telecommunications as Singapore counsel in relation to the incorporation of their investment vehicle in Singapore and further investment into the third telecommunication service provider in Philippines.
- Frasers Property Limited in (a) its joint investment worth US$177 million with GIC and JustCo to develop a co-working space platform across Asia; and (b) its investment in subscribing for up to 13.2% of the issued and paid-up capital of JustGroup Holdings Pte. Ltd.
- ams AG in a joint venture with private equity fund Wise Road Capital for ams AG’s environmental sensor business.
- Canada Pension Plan Investment Board in relation to its US$375 million investment representing a 25% stake in Raffles City China Investment Partners III ("RCCIP III") and in relation to the acquisition of the initial RCCIP III seed asset in the PRC. RCCIP III is a fund which will invest in prime integrated developments in gateway cities in the PRC, with a fund size of US$1.5 billion, and is CapitaLand Limited's largest private capital-raising.
- Ranhill Water Technologies (Cayman) Limited (a subsidiary of Ranhill Holdings Berhad, listed on Bursa Malaysia) in its sale of 60% of Ranhill Water (Hong Kong) Ltd. to Asia Wisdom Investments Limited (a subsidiary of SIIC Environment Holdings Limited, listed on Singapore Exchange Securities Trading Limited) for an aggregate consideration of RMB273.9 million.
- China Unicom (Singapore) Operations Pte. Ltd. on the US$50 million China-Myanmar International cross-border optical fibre cable system procurement, construction, supervision, and tendering packages in Myanmar. This 1500km cable system which connects the major cities of Myanmar with Yunan province of PRC and the Indian Ocean, enhances the internet service between PRC and ASEAN.
