MIAO Miao is the Deputy Head of the China Practice. His main areas of practice include foreign direct investment, project finance and equity transactions, with a focus on corporate finance-related transactions, mergers and acquisitions and general corporate law. He has particular expertise in deals relating to power plants involving foreign investment, having advised on approximately 20 such deals in China.
Miao has been recommended as a leading lawyer in the PRC by Asialaw Profiles – The Guide to Asia-Pacific's Leading Domestic Law Firms and Asialaw Leading Lawyers – The Guide to Asia-Pacific's Leading Lawyers in the areas of Corporate/M&A and Projects & Infrastructure; and China Law & Practice's Annual Review 2015 in the area of Banking & Finance (Project Finance).
Miao graduated from Zhejiang University, PRC, University of Leeds, UK and National University of Singapore. He is admitted to the Bar of the People's Republic of China, Singapore Bar and the Roll of Solicitors of England & Wales.
Significant transactions in which Miao has been involved in include acting/advising for the following:
- SATS with respect to the proposed acquisition by Mitsui of a 15% stake in a subsidiary of SATS through which SATS and Mitsui will jointly pursue potential food-solutions related investments.
- Banyan Tree Holdings Limited in the acquisition of China Vanke Co., Ltd.'s interest in select joint venture entities in the People's Republic of China for an aggregate consideration of RMB480 million, and the disposal of its interest in another joint venture entity in the People's Republic of China to China Vanke Co., Ltd.
- China Telecommunications as Singapore counsel in relation to the incorporation of their investment vehicle in Singapore and further investment into the third telecommunication service provider in Philippines.
- Frasers Property Limited in (a) its joint investment worth US$177 million with GIC and JustCo to develop a co-working space platform across Asia; and (b) its investment in subscribing for up to 13.2% of the issued and paid-up capital of JustGroup Holdings Pte. Ltd.
- China Unicom (Singapore) Operations Pte. Ltd. on the US$50 million China-Myanmar International ("CMI") cross-border optical fibre cable system procurement, construction, supervision, and tendering packages in Myanmar. This 1500km cable system which connects the major cities of Myanmar with Yunan province of PRC and the Indian Ocean, enhances the internet service between PRC and ASEAN.
- Canada Pension Plan Investment Board in relation to its US$375 million investment representing a 25% stake in Raffles City China Investment Partners III ("RCCIP III") and in relation to the acquisition of the initial RCCIP III seed asset in the PRC. RCCIP III is a fund which will invest in prime integrated developments in gateway cities in the PRC, with a fund size of US$1.5 billion, and is CapitaLand Limited's largest private capital-raising.
